The video and audio streams are encoded using codecs such as libx264 and vorbis etc. Since mkv and mp4 can both hold the same codecs (as far as I'm aware) you can losslessly convert an mp4 file into an mkv file in order to take advantage of the additional functionality mkv can provide, such as better support for subtitles etc.
Recently I've tryed converting a .mkv file to a .mp4 file for my ipod using Handbrake. The origanal .mkv file sayed it had subtitles, so I thought that all I had to do was convert it to a .mp4.The convertion worked well (like Handbrake usually does) but the subtitles didn't show.

MKV subtitles aren't merged into the video; they are plain text rendered on video during playback. Because they are already distinct, MkvExtract can extract these to a separate file. My first instinct would be to look for .srt files on a good subtitle site. opensubtitles.org or subscene are the best I know of. The former one especially. smplayer will search for a sub file on opensubtitles and download it while playing. Very convenient. The sub doesn't work in the original mkv format too.
